TERMS & CONDITIONS OF BUSINESS

‘Tasting Plates’ means Tasting Plates LTD. and the ‘Client’ means the person or company signing the ‘Contract’ with JoTo Ltd.  

‘Contract’ means the agreement between Tasting Plates and the Client set out in the Quotation and these Terms & Conditions.

‘Quotation’ means a written quotation from Tasting Plates, if relevant as updated from time to time by written agreement, based on information provided by the Client.

‘Event’ means the function, wedding, meal or similar to which Tasting Plates will provide the Services under the Contract.

‘Services’ means the services delivered to the Client by Tasting Plates for the Event, including but not limited to providing and serving food, and arranging on behalf of the Client, which will contract for them separately, hire and layout of furniture and tableware, arranging and serving drinks or a bar, and other services as specified in the Quotation. 

‘Attendees’ includes the Client, guests, the Client’s staff and contractors (including entertainers, photographers etc), and Trading Plates’ staff and contractors. 

‘Children’ for the purposes of Attendees are defined as those between three and 14 years old inclusive. Those who are two or under are to be counted but not included in Attendees for the purposes of payments under the Contract. 

1. Contract

  1. The Contract between Tasting Plates and the Client will be made on either the Client’s signature of a Tasting Plates order form or the Client’s written (including email or text message) confirmation of acceptance of a valid written Quotation from Tasting Plates or on payment of the first stage payment (see section 4.1.a)).

  2. A Quotation is valid for one month from its issue provided it has not been updated or replaced by Tasting Plates due to new information about the Event or for any other reason. Updates include written acknowledgements by Tasting Plates of changes requested by the Client.

  3. Confirmation of numbers attending, menu choices, drinks and other variables for the event must be made no later than one month before the event and will be reflected in the updated Quotation.

2. Fulfilment

  1. Tasting Plates will use all reasonable endeavours to deliver the Services to a high standard and to respond to Client requests in a timely manner. The Client accepts that no responsibility is taken or borne by Tasting Plates for errors or omissions in delivering the Services, nor for failing to meet what the Client believes is the appropriate level of service, unless clear failure is the result of willful or negligent conduct by JoTo, its staff or contractors. 

3. Attendees

  1. Recognising that attendance at an Event may not be final until the Event itself, the Quotation may include provision for the adjustment (up or down) of the number of actual Attendees.

  2. Actual attendance which is lower than the Quotation may result in an imposed increase to the Quotation at the discretion of Tasting Plates.

    [ For the purposes of explanation only, Tasting Plates will incur ‘fixed’ (eg staff, equipment, transport) and variable (eg food) costs, and not all reduce if the number of attendees falls significantly]

  3. The number of Attendees who are children is to be noted for the purposes of charges under the Contract.

4. Payment

1. Payment is due in the following stages (invoices will have VAT in addition):

a) 10% of the Quotation amount or £1000 whichever is the larger, or the whole Quotation amount if smaller than £1000, on the date of the Contract, provided such date is more than two months prior to the Event

b) 40% of the Quotation amount, or of the balance up to 50% of the Quotation after deducting the amount in a) whichever is the larger, three months before the date of the Event. If the Contract date is less than three months prior to the Event then 50% of the Quotation amount is due 

c) The balance of the Quotation, after deducting the amounts in a) and b) five weeks before the Event

d) Any amounts for numbers of attendees different to the Quotation, and for imposed changes to the Quotation, and for any services in addition to the Quotation, and for any costs incurred due to restrictions imposed by the Client such as but not limited to restricted access to venues, and any other amounts due, on receipt of invoice. 

5. Loss or damage

  1. Except in the case of the negligent or willful misconduct by Tasting Plates, its employees or contractors, Tasting Plates accepts no liability:

a) for any loss caused by its failure to perform its obligations

b) for any loss or damage to the Client’s property, including to any private location owned by the Client

2. The Client is responsible for loss or damage to Tasting Plates, its employees or contractors as a result of the negligence or willful misconduct of the Client, its guests, employees or contractors

Clients are encouraged to consider taking insurance against loss or damage which is their responsibility.  This includes but is not limited to hired venues and equipment.

6. Cancellation

By the client:

  1. Cancellation by the Client for any reason up to three months prior to the date of the Event will forfeit the amount in section 4.1.a) above

  2. Cancellation between three months and five weeks prior to the event will forfeit the amounts in 4.1.a) and up to the total of 4.1.b)

  3. Cancellation within five weeks of the event will forfeit the whole amount of the Quotation.  

    Clients are encouraged to consider taking out insurance against cancellation which is their responsibility.  

By Tasting Plates:

  1. Cancellation by Tasting Plates due to organising conditions (except for Force Majeure), including but not limited to those associated with the Client’s choice of venue, determination of such organising conditions being at the sole discretion of Tasting Plates, will result in a refund of the amount paid less a 10% deduction

  2. Cancellation by Tasting Plates for any other reason will entitle the client to a full refund of amounts paid

By Force Majeure:

Cancellation due to Force Majeure, defined as events or actions which are external to both the Client and Tasting Plates, and which are unforeseeable and unavoidable, will result in the refund of any amounts paid. For clarification, legal Covid-19 restrictions are Force Majeure, weather conditions are not.

7. Postponement

  1. Tasting Plates will make reasonable efforts, on the Client’s request, to organise the Event on a date different (or at a time substantially different) to that contracted. Additional costs or disruption may result in an increased charge to the Client, at Tasting Plates discretion.

  2. Tasting Plates has a usual policy of organising one Event per day, so a requested postponement by the Client may be to a date or time which Tasting Plates is unable to agree. In these circumstances the Cancellation provisions of section 6 apply. 

8. Legal

These Terms and Conditions apply to the exclusion of all other terms, conditions, warranties and representations, expressed or implied, statutory or otherwise subject to any amendments which Tasting Plates may make from time to time, which will be notified to the Client in writing. No alterations, additions, amendments or waivers to any of these Terms and Conditions are to be made except with the prior written approval of Tasting Plates.
